Standard. Our MSA is written as a US-friendly work-for-hire: IP transfers fully to your entity on payment, no withholding rights, no carve-outs. We invoice in USD. Your tax treatment of the spend (Section 174 R&D capitalization vs immediate expense) is independent of vendor location. Your counsel reviews our MSA once; subsequent SOWs reference the MSA. No different from hiring a Delaware-based agency, except the engineering happens in Montréal.

Can you handle NYDFS / SEC / FINRA-regulated workloads?

Aware, not certified. We don't sign on the legal hook for your specific NYDFS Part 500 cybersecurity certification, FINRA broker-dealer compliance, or SEC reporting. That's your counsel and your in-house compliance team's domain. What we do: ship architectures that pass the technical-pattern audit (audit logs, encrypted-at-rest data flows, role-based access, segregation of duties primitives, MFA hooks). If you have specific certification deliverables that need our cooperation (SOC 2 audit fieldwork, penetration test remediation), we cooperate fully — but the certificate sits with your org, not us.
